Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your,” or “User”) and HaulBook Inc. (“HaulBook,” “we,” “us,” or “our”), governing your access to and use of the HaulBook mobile application (the “App”), the website at haulbookapp.com (the “Site”), the free calculators and tools, and all related services (collectively, the “Services”).

By creating an account, downloading the App, or using any part of the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. Sections 10–14 (Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution / Arbitration with a class-action waiver) limit our liability and affect your legal rights — please read them carefully.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of a business, you represent that you are authorized to bind that business, and “you” includes that business. You agree to provide accurate information, keep your credentials confidential, and are responsible for all activity under your account. Notify us promptly of any unauthorized use at support@haulbookapp.com.

2. The Services

HaulBook is a software tool that helps trucking owner-operators and carriers organize documents, loads, fuel, expenses, mileage, IFTA, and insurance information, and that uses AI to read documents and generate estimates and draft communications. HaulBook is a productivity tool only. It is not, and does not provide, accounting, tax, legal, insurance, financial, dispatching, brokerage, or compliance advice or services. You remain solely responsible for your business decisions, filings, and regulatory compliance.

3. Estimates, AI output & your responsibility to verify

Numbers, calculations, classifications, extracted fields, profit and cost-per-mile figures, IFTA totals, and any text the Services generate (including from the load calculator and AI features) are estimates and automated outputs that may be incomplete, inaccurate, or wrong. AI can make mistakes and misread documents. You must independently review and verify all outputs before relying on them, booking a load, sending any communication, making a payment, or filing any tax or regulatory document. You are solely responsible for verifying your own figures and for any decision you make using the Services, and we are not liable for those decisions or their outcomes.

4. Subscriptions, billing & refunds

The HaulBook app is free to download and use. HaulBook Pro (our AI automation) is an optional paid subscription, billed monthly per truck and purchased on our website. Payments are processed by our payment provider, Stripe, Inc.; by subscribing you also agree to Stripe’s applicable terms, and we do not receive or store your full payment-card details. Your subscription renews automatically each month and your payment method is charged at the start of each billing period until you cancel. You may cancel at any time from your billing portal or by emailing support@haulbookapp.com; cancellation stops future renewals and takes effect at the end of the current paid period. Except where required by applicable law, fees already charged are non-refundable. Prices and plan features may change prospectively with reasonable notice.

5. License

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. We reserve all rights not expressly granted.

6. Acceptable use

You agree not to: (a) use the Services unlawfully or in violation of any third party’s rights; (b) upload content you do not have the right to use, or that is unlawful, infringing, or malicious; (c) reverse engineer, decompile, scrape, or attempt to access the Services’ source code or underlying systems except as permitted by law; (d) interfere with, overload, or disrupt the Services or circumvent security or usage limits; (e) resell, sublicense, or provide the Services to third parties; or (f) use the Services to build a competing product or to train machine-learning models. We may suspend or terminate access for any violation.

7. Your content

You retain ownership of the data and documents you submit (“User Content”). You grant us a worldwide, non-exclusive license to host, store, copy, transmit, process (including via third-party AI providers), and display your User Content solely to operate and provide the Services to you and as described in the Privacy Policy. You represent and warrant that you have all rights necessary to submit your User Content and that doing so does not violate any law or third-party right. You are responsible for keeping your own backups of records important to your business.

8. Intellectual property

The Services, including the App, Site, software, design, logos, and the “HaulBook” name, are owned by us and protected by intellectual-property laws. Feedback you provide may be used by us without restriction or obligation to you.

9. Third-party services

The Services rely on and interoperate with third parties (including Apple, Google, AI providers, cloud hosting and storage, mapping, and any ELD or recipient you choose). We do not control and are not responsible for third-party services, their availability, or their acts or omissions, and your use of them may be subject to their separate terms.

10. Disclaimers

THE SERVICES, INCLUDING ALL CONTENT, ESTIMATES, AND AI OUTPUT, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES OF ACCURACY, RELIABILITY, AVAILABILITY, UPTIME, OR THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT DATA WILL NOT BE LOST. YOU USE THE SERVICES AT YOUR OWN RISK.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL HAULBOOK INC. OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OR INACCURATE DATA, LOST LOADS, FUEL OR TAX MISCALCULATIONS, FINES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless HaulBook Inc. and its affiliates and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or any law or third-party right; or (d) your business decisions, filings, or communications made using the Services.

13. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Services. Sections that by their nature should survive termination (including Sections 3, 7–14) will survive.

14. Governing law & dispute resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Informal resolution first: before filing any claim, you agree to contact us at support@haulbookapp.com and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration & class-action waiver: except for small-claims matters and claims for injunctive relief regarding intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by a recognized arbitration provider under its consumer/commercial rules, seated in or near Sacramento County, California (or conducted remotely). You and we each waive any right to a jury trial and to participate in a class, collective, or representative action; disputes will be resolved only on an individual basis. If the class-action waiver is found unenforceable, the remainder of this Section will be void as to that claim and litigated in the state or federal courts located in California, to whose exclusive jurisdiction you consent. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

15. Changes to the Services or Terms

We may modify or discontinue the Services (in whole or part) at any time. We may update these Terms by posting a revised version with a new “Last updated” date; material changes will be communicated where required. Your continued use after changes take effect constitutes acceptance.

16. Apple App Store terms

If you obtained the App through the Apple App Store, you acknowledge that these Terms are between you and us, not Apple; that Apple is not responsible for the App or its content, maintenance, or support; that Apple has no warranty obligation with respect to the App; and that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. General

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services and supersede prior agreements. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us should be sent to support@haulbookapp.com.
